Welcome to Spheres. These Terms & Conditions (“Terms”) are a legal agreement between you and Our Spheres, Inc. (“Spheres,” “we,” “us”) governing your use of the Spheres mobile app and related services (the “Service”). By creating an account or using the Service, you agree to these Terms. If you don’t agree, please don’t use Spheres.
1 Eligibility
You must be at least 18 years old to use Spheres. Spheres is currently invite-only, and access may be limited or granted at our discretion. By using the Service, you represent that you meet these requirements and that the information you provide is accurate.
2 Your account and phone verification
To use Spheres, you create an account and verify a phone number you control. You are responsible for activity on your account and for keeping it secure. You agree to provide accurate information and to use a phone number that belongs to you. Creating accounts through false information, impersonation, or automated means is prohibited.
SMS messaging program
By providing your phone number and continuing, you consent to receive a one-time verification code and essential service messages from Spheres by SMS. Message and data rates may apply. Message frequency depends on your activity. Reply HELP for help or STOP to opt out. We do not sell or share your mobile number or SMS consent with third parties for marketing purposes. 3 Acceptable use
Spheres depends on people being real and treating each other well. You agree not to:
Create fake profiles, impersonate others, or misrepresent who you are;
Harass, threaten, abuse, or harm other people;
Post unlawful, hateful, sexually exploitative, or infringing content;
Spam, solicit, or use the Service for unauthorized commercial purposes;
Collect or scrape other users’ information, or use bots or automated tools;
Interfere with, disrupt, or attempt to gain unauthorized access to the Service.
We may remove content and suspend or terminate accounts that violate these Terms.
4 Your content
You retain ownership of the content you create on Spheres. By posting content, you grant us a non-exclusive, worldwide, royalty-free license to host, store, display, and distribute that content as needed to operate and provide the Service. You are responsible for the content you post and confirm you have the rights to share it.
5 Meeting people in person
Your safety is your responsibility
Spheres is designed to help you connect with people in the real world. We do not conduct criminal background checks or otherwise verify the conduct of our users beyond phone verification. You are solely responsible for your interactions with others, online and in person. Always use good judgment and take sensible precautions when meeting anyone you’ve connected with through the Service.
6 Intellectual property
The Spheres app, including its design, software, logos, and branding, is owned by Our Spheres, Inc. and protected by intellectual property laws. These Terms do not grant you any right to use our branding without our prior written permission.
7 Termination
You may stop using Spheres and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Provisions that by their nature should survive termination will survive.
8 Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.
9 Limitation of liability
To the fullest extent permitted by law, Our Spheres, Inc. will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss arising from your use of the Service or your interactions with other users, whether online or in person. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars ($100).
10 Indemnification
You agree to indemnify and hold harmless Our Spheres, Inc. and its officers, directors, and employees from any claims, damages, or expenses arising out of your use of the Service, your content, or your violation of these Terms.
11 Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Any dispute relating to these Terms or the Service will be resolved in the state or federal courts located in Delaware, and you consent to their jurisdiction.
12 Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify you through the app or by other reasonable means and update the “Last updated” date above. Continuing to use the Service after changes take effect means you accept the updated Terms.
